1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the National Troupe of Nigeria’s ("NTN", “we”, “us”) websites, mobile applications, online portals, and related services (collectively, “Services”). By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree with any provision herein, you must discontinue use immediately.
2. Acceptance of Terms
Your access to and use of the Services constitutes your acceptance of these Terms and any posted amendments. NTN may modify these Terms at any time by updating this document and revising the “Last Updated” date. Continued use of the Services after changes have been posted will constitute your acceptance of the revised Terms.
3. Description of Services
NTN provides digital access to information about our programmes in music, dance, drama, and children’s theatre; online event registrations; newsletter subscriptions; multimedia galleries; and educational resources. We may introduce new features or tools over time, all of which will be governed by these Terms unless otherwise specified.
4. User Obligations & Conduct
When using the Services, you agree to:
- Provide accurate, current, and complete information when registering or submitting content.
- Use the Services only for lawful purposes and in accordance with these Terms.
- Refrain from posting or transmitting any content that is unlawful, harmful, defamatory, obscene, or infringes on intellectual property rights.
- Not attempt to interfere with or disrupt the integrity or performance of the Services.
5. Intellectual Property Rights
All content available through the Services—including text, graphics, logos, images, audio and video clips—is the property of NTN or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without the express written consent of NTN.
6. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. NTN DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NTN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NTN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NTN’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO NTN IN CONNECTION WITH THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
8. Indemnification
You agree to defend, indemnify, and hold harmless NTN and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, your use of the Services, or your breach of any representation or warranty.
9. Termination
NTN may suspend or terminate your access to the Services, in whole or in part, at any time and without prior notice, if you breach these Terms or if NTN determines (in its sole discretion) that it is necessary to protect the security, integrity, or reputation of the Services. Upon termination, all rights granted to you under these Terms will immediately cease, and you must cease all use of the Services.
10. Governing Law & Dispute Resolution
These Terms and any disputes arising under or related to them will be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any claim or dispute shall be resolved exclusively by the courts located in Abuja, Nigeria.
11. Changes to Terms
NTN reserves the right to revise these Terms at any time. We will post the updated Terms on our website along with a revised “Last Updated” date. Your continued use of the Services signifies your acceptance of the modified Terms.
